Biography
Jacqueline A. Rogers, a partner in the firm’s Corporate Litigation Group, represents companies and their management and boards in high-stakes mergers and acquisitions litigation, corporate and stockholder disputes, and complex commercial litigation in the Delaware Court of Chancery. She also has substantial experience litigating and providing advice concerning various statutory proceedings under the Delaware General Corporation Law, such as indemnification and advancement suits, stockholder appraisal actions, dissolution proceedings, litigation involving contested director elections, and books and records demands.
Jacqueline is an Executive Editor of the highly regarded Corporate and Commercial Practice in the Delaware Court of Chancery (Lexis Law Publishing), which is recognized as a leading authority on Delaware corporate and commercial practice and has been cited by the Delaware courts in approximately 500 published opinions.
Jacqueline is chair of the firm’s Legal Training Committee, co-chair of the Women’s Initiative at Potter Anderson, and a member of the firm’s Diversity & Inclusion Committee. She also has an active pro bono practice, representing victims of domestic violence through the Delaware Volunteer Legal Service’s Protection from Abuse Program.

- National Amusements Inc. (NAI), Shari Redstone, and Sumner Redstone in a favorable settlement against CBS Corporation and certain members of its board of directors concerning CBS’s attempt to dilute NAI’s voting control of CBS

- Simmons & Co. International in class action litigation alleging that the investment bank aided and abetted a special committee’s breach of fiduciary duty in approving related-party transaction
