Rogers and Salko Discuss Hot Topics in Delaware Corporate Law

Partner Jacqueline Rogers and associate Rebecca Salko will be panelists at a National Association of Women Lawyers program. The panel, “Hot Topics in Delaware and New York Corporate Law: Updates that Transactional Lawyers Need to Know,” is being produced by NAWL’s Women in Corporate Transactions affinity group. With Delaware and New York at the forefront of the nation’s corporate law, the panelists will discuss legal developments and updates in these jurisdictions that are particularly relevant for transactional planners and corporate governance advisors to be aware of in order to structure deals and help their clients manage risk. The speakers will also give insight into recent cases involving contractual waivers of appraisal rights, provisions requiring good-faith negotiations, and the ability to recover lost premiums in broken deals.

An active NAWL member, Rogers represents companies and their management and boards in high-stakes mergers and acquisitions litigation, corporate and stockholder disputes, and complex commercial litigation in the Delaware Court of Chancery. She also has substantial experience litigating and providing advice concerning various statutory proceedings under the Delaware General Corporation Law, such as indemnification and advancement suits, stockholder appraisal actions, dissolution proceedings, litigation involving contested director elections, and books and records demands.

Salko is a member of the firm's Transactions and Corporate Counseling Group. She focuses her practice primarily on counseling Delaware corporations on corporate law and governance issues. She routinely counsels corporations and directors regarding transactions such as mergers, recapitalizations, reorganizations, asset sales, dividends, stock repurchases, charter and bylaw amendments, preferred stock designations, and dissolutions.
