Mozal and Lyons Author Article on Recent Delaware Supreme Court Decision

Counsel Nick Mozal and associate Garrett Lyons authored an article about the recent Delaware Supreme Court’s decision in Morris v. Spectra Energy Partners (DE) GP, LP. The article, “Delaware Supreme Court Resuscitates Suit Challenging Decision to Value Pending Litigation Claims at Zero in Merger,” was published by The M&A Lawyer. In their analysis, the authors concluded the “decision indicates that the application of Delaware’s plaintiff-friendly standard on motions to dismiss counsels against aggressively discounting derivative claims that had demonstrated some merit in pending actions extinguished by a merger.”

Mozal focuses his practice on corporate and commercial litigation in the Delaware Court of Chancery and Supreme Court. His experience includes litigating stockholder class and derivative claims, and statutory proceedings under the Delaware General Corporation Law, such as actions concerning advancement, appraisal, and contested board elections. Before joining Potter Anderson, he was a law clerk for Vice Chancellor Morgan T. Zurn of the Delaware Court of Chancery.

Lyons focuses his practice on counseling Delaware corporations on corporate law and governance issues. He also works with buyers and sellers in negotiated acquisitions and divestitures.
