Nick Mozal

Biography

Nick Mozal is a partner in the firm’s Corporate Litigation Group. Nick focuses his practice on representing companies, directors, and stockholders in corporate and M&A litigation in the Court of Chancery, where earlier in his career he served as a law clerk. He has litigated cases involving contested board elections and deal-related breach of fiduciary duty claims through trial, including on an expedited basis. Nick also has significant experience litigating statutory proceedings under the Delaware General Corporation Law, and counsels directors and special committees regarding issues of corporate governance and fiduciary duties.

Nick is a member of the Council of the Corporation Law Section of the Delaware State Bar Association and, in that capacity, participates in the annual review of, and preparation of amendments to, the Delaware General Corporation Law.  He is also an active member of the Mergers & Acquisitions Committee of the American Bar Association’s Section of Business Law. He currently serves as co-chair of the M&A Jurisprudence subcommittee, overseeing the publication of the Annual Survey of Judicial Developments Pertaining to Mergers and Acquisitions in The Business Lawyer.

Before joining Potter Anderson, Nick was a law clerk for Vice Chancellor Morgan T. Zurn of the Delaware Court of Chancery and the Honorable Franklin S. Van Antwerpen of the United States Court of Appeals for the Third Circuit.
