McNeill and Slaugh Author Book on Substantive Consolidation
Counsel Steve McNeill and associate Ryan Slaugh have written Substantive Consolidation: A National Survey, a book published by the American Bankruptcy Institute. Described as “the quintessential guide to the complex world of substantive consolidation,” the book details the variety of tests that have been adopted across the U.S., and includes both a circuit-level cheat sheet and a chart of the tests that have been adopted by every district court in the country. After analyzing the assorted tests, the book next tackles thorny issues such as nondebtor consolidation and retroactive petition dates. The book concludes with a chapter on nonconsolidation opinions, complete with the relevant excerpts from the S&P Guidelines.
McNeill focuses his practice on complex bankruptcy proceedings involving national and regional clients, including debtors, secured lenders, creditors’ committees and a variety of unsecured creditors. He has been involved in contesting and defending asset sales and plans of reorganization, assumption and rejection of leases and contracts, and other creditor issues including defense of preference litigation. In addition to being a frequent author on bankruptcy-related topics, he is a coordinating editor of the American Bankruptcy Institute Journal’s Building Blocks column.
Slaugh’s practice focuses primarily on complex commercial restructurings in the United States Bankruptcy Court for the District of Delaware. He has represented debtors, secured and unsecured creditors, official committees, purchasers and other parties-in-interest in a variety of bankruptcy matters in the Bankruptcy Court, the District Court and the 3rd Circuit.
