Ronan and Salko Discuss Recent Developments in Private Equity and Venture Capital Law
At the ABA Business Law Section’s Hybrid Spring Meeting, Alyssa Ronan and Rebecca Salko will discuss recent developments in private equity and venture capital law. Topics will include recent guidance from the Delaware Court of Chancery on who may constitute a control group or a controlling stockholder as well as insights into recent cases involving contractual waivers of appraisal rights and purported waivers of fiduciary duties.
The discussion will be hosted by the Private Equity and Venture Capital Jurisprudence Subcommittee. Potter Anderson partner Alyssa Ronan co-chairs the subcommittee.
Ronan’s practice focuses on corporate advisory, corporate governance, and transactional matters relating to Delaware corporations and alternative entities. She regularly counsels boards of directors, board committees (including special, transaction and conflicts committees), and investors on M&A matters, governance matters, and situations involving conflicts of interests and fiduciary duty issues. She also renders opinions and written advice on a variety of matters arising under the Delaware General Corporation Law, as well as the governance documents of Delaware corporations and alternative entities.
Salko focuses her practice primarily on counseling Delaware corporations on corporate law and governance issues. She routinely counsels corporations and directors regarding transactions such as mergers, recapitalizations, reorganizations, asset sales, dividends, stock repurchases, charter and bylaw amendments, preferred stock designations, and dissolutions She also authors opinion letters on a wide range of Delaware corporate law matters. In addition, Rebecca has substantial experience advising board committees in connection with various conflict transactions, including M&A transactions.
