Ronan and Salko Discuss Recent Developments in Private Equity and Venture Capital Law

Speaking Engagement

At the ABA Business Law Section’s Spring Meeting, Alyssa Ronan and Rebecca Salko will discuss recent developments in private equity and venture capital law. Topics will include the interpretation of preferred stock terms and fraud claims in connection with the sale of preferred stock as well as the circumstances under which fiduciary obligations may be imposed upon minority PE and VC investors.

The discussion will be hosted by the Private Equity and Venture Capital Jurisprudence Subcommittee. Potter Anderson partner Tom Mullen co-chairs the subcommittee.

Ronan’s practice focuses on corporate advisory, corporate governance and transactional matters relating to Delaware corporations and alternative entities. She regularly counsels investors, boards of directors and board committees in situations involving conflicts of interest and fiduciary duty issues, including charter and bylaw amendments and M&A transactions. Ronan also renders opinions and written advice on a variety of matters arising under the Delaware General Corporation Law, as well as the governing documents of Delaware corporations and alternative entities.

Salko focuses her practice primarily on counseling Delaware corporations on corporate law and governance issues. She also works with buyers and sellers in negotiated acquisitions and divestitures.
