Millard and Ronan Discuss Fiduciary Duties in Sale of Control at ABA Business Law Section Meeting

Partner Pam Millard and associate Alyssa Ronan led a discussion at the spring meeting of the American Bar Association’s Business Law Section in Vancouver on March 29. At the M&A Committee’s M&A Jurisprudence Subcommittee meeting, they discussed an abstract of their article, “Fiduciary Duties in a Sale of Control: A Comparison of These Duties in Delaware Corporations and Alternative Entities.”

Millard advises clients regarding all aspects of the Delaware General Corporation Law and the governance of Delaware corporations. She regularly counsels corporations, directors, and board committees regarding transactions such as mergers, recapitalizations, assets sales, dividends, charter and bylaw amendments and preferred stock designations. She also authors opinion letters on a wide range of Delaware corporate law matters. She is an active member of the ABA’s M&A Committee.

Ronan’s practice primarily involves counseling Delaware corporations on corporate law and governance issues. She also works with buyers and sellers in negotiated acquisitions and divestitures.
