Kelly and Maxwell Present Webinar on Minority Investors in LLCs
Partner Chris Kelly and senior associate Mike Maxwell presented a CLE webinar titled “Minority Investors in LLCs: How Contractual Limitations and Waivers of Fiduciary Duties Can Impact Challenges to Conflict Transactions” on July 11. Kelly and Maxwell provided guidance to counsel advising LLC planners, managers and investors. They discussed recent cases involving contractual waivers of fiduciary duties, the implied covenant of good faith and fair dealing, and contractual discretion by the board.
