Houtman, Kelly and Townsend Discuss "Busted Deal" Litigation in the Delaware Courts

At The Chicago Bar Association's Business Divorce and Complex Ownership Disputes Committee meeting on September 12, 2023, Potter Anderson attorneys Roxanne Houtman, Christopher Kelly and Lilianna Townsend will review court decisions in Twitter and other recent cases and share tips and lessons for each stage of life of a busted deal case - from when disputed issues first arise between parties to a merger agreement, through post-trial decision by the court regarding whether to order specific performance of the transaction. 

Houtman is a partner in the firm’s Corporate Group. Her practice involves counseling Delaware corporations on corporate law and governance issues. She also represents buyers and sellers in negotiated acquisitions and divestitures. She is a member of the Council of the Corporation Law Section of the Delaware State Bar Association and, in that capacity, participates in the annual review of, and preparation of amendments to, the DGCL.

Kelly focuses his practice on complex litigation and counseling matters involving Delaware corporations and alternative entities. His experience includes stockholder class and derivative actions, busted deal litigation and takeover disputes, limited partnership and limited liability company litigation, special/demand committee investigations, buyer/seller post-closing disputes, and statutory proceedings under the Delaware General Corporation Law and alternative entity acts, such as dissolution actions, stock appraisals, indemnification and advancement actions, contested director elections, and demands to inspect books and records.

Townsend is counsel in the firm's Corporate Litigation Group. Her practice focuses on corporate and commercial litigation in the Delaware Court of Chancery. She represents directors, officers and corporations in litigation and arbitration in a variety of corporate and complex commercial disputes.
