Mr. Norman practices primarily in the areas of corporate and commercial litigation.  He has substantial experience in litigating corporate and commercial disputes in the Court of Chancery and the District Court of Delaware, including stockholder class and derivative actions, takeovers, corporate governance issues and various proceedings under the Delaware General Corporation Law.  Mr. Norman frequently counsels stockholders, officers and directors, partners, and Delaware corporations regarding various matters of Delaware corporate and partnership law.

Mr. Norman has been recognized by Chambers USA:  America's Leading Lawyers for Business as a leading practitioner in the area of Chancery litigation.

Representative Matters

Mr. Norman's recent experience includes the defense and settlement of several stockholder class, derivative and direct actions, including actions against The Walt Disney Company, National City Bank, Nationwide Corp., Intel Corporation, Citrix, AIG, Siliconix, Ameritrade, Wal-Mart, Lehman Bros., Hewlett-Packard, LNR, Inter-Tel, Massbank, Guitar Center and Motorola, Inc.  He has represented special committees performing investigations for Citibank, Bank of America, Newmont Mining, Red Hat, Lucent Technologies, Fidelity Medical Inc., Rockefeller Center and Salomon Brothers, Inc.  He also has extensive experience in partnership litigation, including actions against ONEOK, CIBC, Hallwood Real Estate Partners and Bank of America, and for Monier and NAMA.  Recent successes include obtaining summary judgment in favor of Intel, compelling Atmel to hold a special meeting of stockholders called by its chairman and requiring Office Depot to allow insurgent to nominate its candidates at annual meeting.
