Mr. Goldman practices primarily in the corporate counseling and corporate litigation areas; he is regularly called to provide advice and formal opinions as to the advisability, propriety and legal consequences of proposed decisions, transactions, and business combinations under Delaware law.
In litigation matters, his practice focuses primarily on the fiduciary relationship between Delaware business entities and their owners and managers, particularly in connection with mergers, tender offers, proxy contests, and other transactions involving changes of corporate control.
Mr. Goldman has been recognized by Chambers USA: America's Leading Lawyers for Business as a leading practitioner in both the corporate litigation and corporate/M&A areas.

Mr. Goldman has written a number of articles for leading legal publications, including The Business Lawyer, The National Law Journal, and The New York Law Journal, and has lectured on corporate law matters at seminars sponsored by the American Bar Association, Tulane University, the Association of General Counsel, the Delaware State Bar Association and Widener University School of Law.
In addition, Mr. Goldman has served as a speaker on Delaware corporate law issues for a number of national and regional law firms as part of their internal continuing education programs.
